1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Wonder 4 Marketing Inc. ("Company," "we," "us," or "our") governing your access to and use of BookedMax (the "Service"), including our website, mobile applications, APIs, and all related services.

By accessing or using BookedMax, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

BookedMax is a software-as-a-service (SaaS) platform that provides online booking, scheduling, and business management tools. The Service enables businesses ("Service Providers") to manage appointments, classes, tours, rentals, and other bookable services, and allows their clients ("Clients" or "End Users") to discover and book those services online.

Features include but are not limited to: online booking pages, calendar management, staff scheduling, payment processing, SMS and email notifications, digital waivers, analytics, and embeddable booking widgets.

3. Account Registration

• You must be at least 18 years old to create an account.
• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Booking Policies

5.1 Making Bookings

When you make a booking through BookedMax, you enter into an agreement with the Service Provider for the booked service. BookedMax acts as an intermediary platform and is not a party to the service agreement between you and the Service Provider.

5.2 Cancellations & Refunds

Cancellation and refund policies are set by individual Service Providers and are displayed at the time of booking. BookedMax is not responsible for the cancellation or refund policies of Service Providers. Any disputes regarding cancellations or refunds should be directed to the Service Provider.

5.3 No-Shows

Service Providers may charge no-show fees as specified in their booking policies. BookedMax sends reminder notifications to help reduce no-shows but is not liable for any charges resulting from missed appointments.

6. Payment Terms

6.1 For Service Providers (Subscription)

• BookedMax offers subscription plans billed monthly or annually.
• A 14-day free trial is available for new accounts.
• Subscription fees are non-refundable except as required by law.
• We may change pricing with 30 days' advance notice.
• Failure to pay may result in account suspension or termination.

6.2 For Clients (Service Payments)

• Payments for booked services are processed through Stripe or PayPal.
• Some services may require deposits at the time of booking.
• BookedMax may hold funds and disburse them to Service Providers per the platform's payment schedule.
• All prices are displayed in the currency set by the Service Provider.

6.3 SMS Credits

SMS notifications consume credits included in your plan. Additional SMS credit packages can be purchased from your dashboard. SMS credits are non-refundable and do not expire as long as your account is active.

7. Service Provider Responsibilities

If you use BookedMax as a Service Provider, you agree to:

• Provide accurate service descriptions, pricing, and availability.
• Honor confirmed bookings and adhere to your stated policies.
• Comply with all applicable laws, licenses, and regulations related to your business.
• Handle client data in compliance with applicable privacy laws.
• Not use the platform for any illegal, fraudulent, or harmful activity.
• Obtain proper consent before sending SMS messages to your clients through BookedMax.

8. Intellectual Property

The BookedMax platform, including its design, code, features, documentation, and branding, is owned by Wonder 4 Marketing Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.

You retain ownership of all content you upload to the platform (business logos, service descriptions, photos, etc.) and grant us a limited license to display and use that content in connection with providing the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WONDER 4 MARKETING INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee the quality, accuracy, or reliability of any services provided by Service Providers on the platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wonder 4 Marketing Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice.

Upon termination, your right to use the Service will cease immediately. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
